Terms of Service

These Terms of Service govern your use of Marketplace Aid's website and services. Please read them carefully. By engaging our services, you agree to these terms.

1. Acceptance of Terms

By accessing or using Marketplace Aid's website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These terms apply to all visitors, clients, and anyone else accessing or using our services.

2. Services

Marketplace Aid provides digital services including but not limited to website development, mobile app development, e-commerce development, Amazon listing optimization, Google Ads management, social media marketing, lead management, and brand strategy.

Specific deliverables, timelines, and fees are agreed upon in separate written proposals or Statements of Work (SOW) for each engagement.

3. Payment Terms

Unless otherwise specified in the SOW, invoices are due within 15 days of issue. Late payments may be subject to a 1.5% monthly late fee.

For ongoing retainers, payment is due in advance of each service period. We reserve the right to pause services for unpaid invoices after written notice.

4. Intellectual Property

Upon full payment, clients own all final deliverables (designs, code, copy, visuals) produced specifically for their project.

We retain rights to any pre-existing tools, frameworks, methodologies, and general know-how used in delivery. We may showcase completed work in our portfolio unless a non-disclosure agreement is in place.

5. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without permission, except as required by law or to deliver contracted services.

Mutual non-disclosure agreements are available upon request for sensitive engagements.

6. Warranties & Disclaimers

We warrant that our services will be performed with professional care and in accordance with industry standards.

We make no guarantees about specific business outcomes (e.g., sales, traffic, rankings) as these depend on many factors outside our control. Our services are provided “as is” without warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, Marketplace Aid's total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption.

8. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, required approvals, and necessary access (domains, accounts, assets) to enable service delivery.

Delays caused by client inaction may extend project timelines and are not grounds for refund.

9. Cancellation & Refunds

Fixed-scope projects may be cancelled by either party with written notice. Completed work up to the cancellation date is due and payable.

Monthly retainers may be cancelled with 30 days written notice. Prepaid fees for uncompleted service periods will be refunded.

10. Third-Party Services

Our services may integrate with third-party platforms (e.g., Google, Meta, Amazon, Shopify, hosting providers). We are not responsible for the availability, policies, or actions of these third parties.

Client is responsible for any third-party fees (ad spend, platform subscriptions, hosting) unless explicitly included in the SOW.

11. Governing Law

These terms are governed by the laws of India without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Rajkot, Gujarat, India.

12. Changes to Terms

We may update these Terms of Service from time to time. Continued use of our services after changes constitutes acceptance of the updated terms.
